1. Binding Agreement and Portal Access

These Terms of Service constitute a legally binding agreement between you ("User," "Subscriber," or "Visitor") and Millionaire Marketing FZ, a company incorporated in Dubai Internet City, United Arab Emirates, doing business as Millionaire Marketing ("Company," "Publisher," "We," "Our," or "Us"). By accessing this Portal, navigating its contents, or submitting your details to subscribe to our publications, you unconditionally agree to these Terms. If you reject any provision, you must immediately exit this Portal and cease all use of our services.

2. Nature of the Portal and Financial Disclaimers

4. Maximum Limitation of Corporate Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MILLIONAIRE MARKETING FZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES DISCLAIM ALL LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THIS PORTAL; (B) YOUR RELIANCE ON ANY INFORMATION OR ANALYSIS PUBLISHED HEREIN; (C) TRADING DEFICITS, LOSS OF ANTICIPATED PROFITS, OR CAPITAL LOSSES; (D) DATA INTERRUPTIONS, UNAUTHORIZED ACCESS TO, OR ALTERATION OF YOUR TRANSMISSIONS; OR (E) ANY OTHER MATTER RELATING TO THIS PORTAL OR ITS CONTENT — EVEN IF THE COMPANY HAS BEEN APPRISED OF THE LIKELIHOOD OF SUCH DAMAGES.

THE TOTAL AGGREGATE LIABILITY OF THE COMPANY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (II) USD $100.

5. Indemnification

You agree to defend, indemnify, and hold harmless Millionaire Marketing FZ, its officers, directors, employees, contractors, licensors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of this Portal in violation of these Terms;
• Your violation of any applicable law, rule, or regulation, including securities laws or financial regulations;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any claim that your conduct or use of our content caused damage to a third party; or
• Any misrepresentation made by you.

6. Intellectual Property and Network Integrity

6.1 Ownership

All copywriting, branding, design, architecture, analytical frameworks, and promotional materials published on this Portal are the exclusive intellectual property of Millionaire Marketing FZ. All rights are reserved.

6.2 Limited License

You are granted a limited, revocable, non-exclusive, non-transferable license to view this Portal and its content for personal, non-commercial use only. No other rights are granted.

6.3 Prohibitions

You are strictly prohibited from:

• Copying, syndicating, sublicensing, cloning, or redistributing our Portal content or marketing materials, in whole or in part;
• Reproducing our content for commercial purposes without express written authorization from the Company;
• Deploying automated scraping software, data-extraction bots, AI crawlers, or similar tools against our Portal infrastructure;
• Removing or altering any copyright, trademark, or proprietary notices from our content.

7. Communications Consent and TCPA Compliance

7.1 Email Transmissions

By subscribing via this Portal, you agree to receive market alerts, editorial newsletters, and curated promotional content from Millionaire Marketing. All commercial emails include an accurate sender identification, non-deceptive subject lines, and a one-click "Unsubscribe" link. Opt-out requests are processed within 10 business days.

7.2 SMS Market Alerts (TCPA & ATDS)

By providing your mobile phone number on our SMS opt-in form, you provide your prior express written consent under the Telephone Consumer Protection Act (TCPA) to receive recurring automated marketing and informational text messages, including messages sent via an Automatic Telephone Dialing System (ATDS), from Millionaire Marketing. Consent to receive SMS messages is never a condition of any purchase or access to standard content.

7.3 Non-Sharing Protocol

We do not sell, rent, lease, or share your mobile phone number or SMS opt-in data with any third parties, affiliates, or partners for their own marketing or promotional purposes.

7.4 Carrier Immunity and Message Frequency

Message frequency varies based on market volatility and conditions. Standard message and data rates may apply. T-Mobile and all other wireless carriers are not liable for delayed or undelivered messages.

7.5 Opt-Out Mechanism

You may terminate SMS alerts at any time by replying STOP, QUIT, or UNSUBSCRIBE to any message. Reply HELP for administrative support. Following opt-out, we will send one confirmation message and no further SMS communications.

8. Governing Law, Arbitration, and Dispute Resolution

8.1 Jurisdictional Authority

This Agreement is governed by and construed in accordance with the laws of Dubai and the prevailing Federal Laws of the United Arab Emirates, without regard to conflict of law principles.

8.2 Mandatory Consumer Rights Carve-Out

Notwithstanding the foregoing governing law election, nothing in this Agreement limits, waives, or supersedes any rights you may have under the mandatory consumer protection laws of your jurisdiction of residence. Where applicable law — including but not limited to California law (CCPA/CPRA), EU member state law (including GDPR), or the consumer protection provisions of other jurisdictions — prohibits the application of a foreign governing law, mandatory arbitration, or class action waivers, those provisions shall not apply to you, and your local mandatory consumer protection laws shall govern to the extent required.

Specifically: TCPA claims brought by US residents shall be subject to US federal law. EU residents retain all rights under GDPR and applicable EU consumer protection directives and may lodge complaints with their local Data Protection Authority.

8.3 Arbitration Mandate

Subject to the mandatory consumer rights carve-out in Section 8.2, any dispute, claim, or controversy arising out of or related to this Agreement or your use of the Portal shall be resolved exclusively through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in Dubai, UAE, under its applicable arbitration rules. The arbitrator's decision shall be final and binding.

8.4 Class Action Waiver

Subject to the mandatory consumer rights carve-out in Section 8.2, you agree to resolve all disputes strictly on an individual basis. You knowingly waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against the Company. Where applicable law renders this waiver unenforceable, it shall not apply to you.

9. Amendments

We reserve the right to amend these Terms at any time to adapt to evolving legal frameworks, regulatory requirements, or operational changes. Material changes will be communicated via email notice to active subscribers and/or via a prominent notice on the Portal, no fewer than 14 days before the effective date of such changes. Your continued use of the Portal following the effective date of any modification constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease use of the Portal and unsubscribe from all communications.

10. Miscellaneous Provisions

10.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

10.2 Entire Agreement

These Terms of Service, together with our Privacy Policy (incorporated herein by reference), constitute the entire agreement between you and Millionaire Marketing FZ regarding your use of this Portal and supersede all prior agreements and representations.

10.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

10.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction, including in connection with a merger, acquisition, or sale of assets.
